Welcome to Homerun Systems. These Terms & Conditions (“Terms”) govern your access to and use of the website homerunsystems.ca and the marketing automation services provided by Halkyon Ventures Ltd, trading as Homerun Systems (“we”, “us”, “our”, “Homerun Systems”).

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

2. Definitions

In these Terms:

“Services” means the marketing automation services provided by Homerun Systems, including but not limited to lead generating websites, missed call text back systems, auto lead follow up systems, Google review growth systems, one-click marketing systems, professional phone systems, and the Homerun CRM & mobile app.
“User”, “you”, “your” means any individual or business entity accessing our website or using our Services.
“Subscription” means your paid access to our Services on a recurring monthly basis.
“Content” means all text, images, data, and other materials uploaded, submitted, or transmitted through our Services.

3. Eligibility

To use our Services, you must:

Be at least 18 years of age
Have the legal capacity to enter into a binding contract
Be a business owner or authorised representative of a business
Provide accurate and complete registration information
Comply with all applicable laws and regulations

4. Account Registration

To access our Services, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your login credentials confidential and secure
Notify us immediately of any unauthorised access to your account
Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

5. Services Description

Homerun Systems provides marketing automation services designed for trade businesses, including:

Lead Generating Website: A website optimised to rank on Google and convert visitors into leads.
Missed Call Text Back System: Automated text responses when you miss a call.
Auto Lead Follow Up System: Automated follow-up sequences via text and email.
Google Review Growth System: Automated review request system compliant with CASL and Google’s policies.
One-Click Marketing System: Easy-to-use marketing campaigns for referrals and re-engagement.
Professional Phone System: Dedicated business phone line with call tracking.
Homerun CRM & Mobile App: Customer relationship management platform accessible via mobile.

We reserve the right to modify, update, or discontinue any aspect of our Services at any time with reasonable notice.

6. Subscription and Payments

6.1 Pricing

Our Services are provided on a monthly subscription basis. Current pricing is available on our website. Prices are quoted in Canadian Dollars (CAD) unless otherwise stated.

6.2 Billing

Subscriptions are billed monthly in advance
Payment is due on the same date each month as your initial subscription
We accept major credit cards and other payment methods as displayed at checkout
All fees are exclusive of applicable taxes, which will be added where required

6.3 Founding Member Rate

Founding members who subscribe during the promotional period may be eligible for a locked-in rate. This rate remains valid for as long as your subscription remains active and in good standing. If you cancel and later resubscribe, the founding rate is forfeited.

6.4 Failed Payments

If a payment fails, we will attempt to process it again. If payment continues to fail, we may suspend your access to the Services until payment is received. Continued non-payment may result in account termination.

6.5 Usage Fees

Some Services may incur additional usage-based fees (e.g., SMS messages, phone minutes). These fees will be clearly communicated and billed in addition to your monthly subscription.

7. Cancellation and Refunds

7.1 Cancellation

You may cancel your subscription at any time by emailing hello@homerunsystems.ca. Upon cancellation:

Your subscription will remain active until the end of your current billing period
No further charges will be made after cancellation
You will retain access to the Services until your billing period ends

7.2 Refunds

Subscription fees are generally non-refundable. However, we offer a 90-day performance guarantee for new subscribers. If you are not satisfied with the results within the first 90 days, contact us to discuss options, which may include additional support or a refund at our discretion.

7.3 Data After Cancellation

Upon cancellation, your data will be retained for 30 days, during which you may request an export. After 30 days, your data may be permanently deleted. We are not obligated to retain your data beyond this period.

8. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

Use the Services for any illegal or unauthorised purpose
Send spam, unsolicited messages, or violate CASL or any anti-spam laws
Upload or transmit viruses, malware, or harmful code
Attempt to gain unauthorised access to our systems or other users’ accounts
Interfere with or disrupt the integrity or performance of the Services
Use the Services to harass, abuse, or harm others
Impersonate any person or entity
Collect or harvest user data without consent
Use the Services in any way that could damage our reputation or goodwill
Resell, sublicense, or redistribute the Services without our written consent

Violation of these rules may result in immediate suspension or termination of your account.

9. CASL Compliance

Our Services are designed to comply with Canada’s Anti-Spam Legislation (CASL). However, you are responsible for:

Obtaining proper consent before sending commercial electronic messages
Ensuring your messages comply with CASL requirements
Maintaining records of consent
Honouring unsubscribe requests promptly

We provide tools and features to help you comply with CASL, but ultimate compliance responsibility rests with you. You agree to indemnify us for any claims arising from your failure to comply with CASL or other applicable laws.

10. Intellectual Property

10.1 Our Intellectual Property

All content, features, and functionality of the Services, including but not limited to software, text, graphics, logos, icons, and images, are owned by Halkyon Ventures Ltd and are protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services without our written permission.

10.2 Your Content

You retain ownership of any Content you upload or create using our Services. By uploading Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, store, and process your Content solely for the purpose of providing the Services to you.

10.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use this feedback without restriction or compensation to you.

11. Third-Party Services

Our Services may integrate with or contain links to third-party services (e.g., Google, payment processors, telephony providers). We are not responsible for the availability, accuracy, or content of these third-party services. Your use of third-party services is subject to their respective terms and policies.

12. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Services will be uninterrupted, secure, or error-free
The results obtained from the Services will be accurate or reliable
Any specific number of leads, reviews, or bookings will be generated
The Services will meet your specific requirements

While we strive to provide high-quality services and have seen positive results across many contractor businesses, individual results may vary based on factors outside our control.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALKYON VENTURES LTD AND ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages
Any loss of profits, revenue, data, or business opportunities
Any damages arising from your use or inability to use the Services
Any damages resulting from unauthorised access to or alteration of your data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Halkyon Ventures Ltd and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

Your use of the Services
Your violation of these Terms
Your violation of any applicable laws, including CASL
Your Content or any material you transmit through the Services
Any third-party claims related to your use of the Services

15. Suspension and Termination

15.1 Suspension

We may suspend your access to the Services immediately if:

You breach these Terms
Your payment fails and remains outstanding
We suspect fraudulent or illegal activity
Required by law or regulatory authority

15.2 Termination

We may terminate your account and access to the Services:

For repeated or material breaches of these Terms
If you fail to pay fees owed
If required by law
At our discretion with 30 days’ written notice

15.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

If you do not agree to the updated Terms, you must stop using the Services and cancel your subscription.

17. Governing Law and Disputes

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

17.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Services shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached within 30 days, either party may pursue legal remedies.

17.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of England and Wales for any disputes that cannot be resolved through negotiation.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Halkyon Ventures Ltd regarding the Services.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, government actions, or internet/telecommunications failures.
